- Represented Avila Retail Development and Management in the sale of its assets, including 25 airport stores in Albuquerque, Denver, Phoenix and San Francisco) to Stellar Partners, a subsidiary of Host.
- Represented Digital Traffic Systems, an intelligent transportation services company with operations in Virginia, Iowa, Nevada and other states, and its stockholders in DTS’s acquisition by merger by a portfolio company of Sterling Partners.
- Represented Grupo Cementos de Chihuahua in a $100+ million sale of ready-mix and transportation assets in Oklahoma and Arkansas to CRH and in the $100+ million purchase from CRH of a cement plant and other assets in Montana.
- Representation of Ktech Corporation in the sale of essentially all of its assets to three different parties. The core business was sold to Raytheon Company for approximately $50 million, the Ktech headquarters building (subject to an industrial revenue bond) was sold to a real estate investment group, and the assets of Ktech’s subsidiary, Poly-Flow Engineering, Inc., were sold to Air Products and Chemicals, Inc. for approximately $7 million. The Raytheon and Air Products transactions closed simultaneously. Ktech retained ownership of the building that housed Poly-Flow, and entered into a lease with Air Products for that space
- Representation of Ernest Health, Inc., the parent company of subsidiaries owning and operating 17 hospitals in 9 states, in the sale of the corporation to Medical Properties Trust, a real estate investment trust. The transaction involved the merger of Ernest Health, Inc. into a new corporation, the formation of a new parent company owned in part by MPT and in part by the Ernest management team, the acquisition and leaseback of some of the hospital assets by MPT affiliates, and the mortgage of the remaining real estate assets to other MPT affiliates. The total consideration was approximately $400 million.
- Representation of Grupo Cementos de Chihuahua, S.A. de C.V. and its subsidiaries in the purchase of a cement plant and building materials assets in West Texas and New Mexico from Cemex and its subsidiaries. The total consideration was approximately $306 million
- Representation of the management of a homeopathic medicine company in a leveraged buy-out of the company from its German parent.
- Represented the shareholders of a California-based solar company in its acquisition by a public company.
- Represented an Albuquerque, New Mexico-based avionics company in an asset sale to a strategic buyer.
- Represented Santa Fe, New Mexico technology company Qforma in its sale to a New York private equity fund.
- Represented New Mexico Mutual Casualty Company in the acquisition of a third-party insurance adjustment firm.
